Terms of service

1. The agreement

These terms govern your use of Prime Connect. By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and “you” means that company.

2. Your workspace and accounts

Prime Connect is a single shared workspace per subscription. Everyone you add sees the same opportunities, saved bids, notes and settings. Administrators can add and remove members and change the workspace’s settings.

You are responsible for:

• who you add, and what they can therefore see;
• keeping account credentials secure, and telling us promptly at [[CONTACT EMAIL]] if you believe an account is compromised;
• everything done through your accounts.

Accounts are for named people. Do not share one login between several people — beyond the security problem, it defeats the record of who saved what.

There is no self-service password reset. Your administrator sets a new password for anyone locked out.

3. Acceptable use

You agree not to:

• resell, sublicense or redistribute the service, or provide it as a service to third parties, without our written agreement;
• use it to violate any law, including United States export control and sanctions law;
• attempt to breach or probe the security of the service, other than through good-faith vulnerability research reported to us privately;
• use automated means to extract data at a volume or rate that degrades the service, or to circumvent the rate limits;
• use the service in a way that breaches SAM.gov’s, DLA’s or USAspending.gov’s own terms of use, including the Department of Defense consent banner presented by DIBBS;
• misrepresent Prime Connect as a government system or as affiliated with any government agency.

We may suspend a workspace that is causing harm to the service or to others. Where practical, we will contact you first.

4. Your SAM.gov API key

You supply your own SAM.gov API key. You confirm you are entitled to use it and that having us make requests with it on your behalf does not breach your agreement with SAM.gov.

SAM.gov sets the request quota and may change, throttle or revoke a key at any time. When that happens, Prime Connect continues to serve cached data and tells you what happened. We are not responsible for a government system’s availability, quota decisions or data accuracy.

We store the key as described in the privacy policy. Rotate it at SAM.gov if you ever suspect exposure.

5. Fees

The subscription fee is stated on our pricing section and is billed monthly in advance. There is no minimum term; cancel at any time and you keep access through the end of the paid month.

Fees exclude taxes, which you are responsible for. We may change pricing with at least 30 days’ notice, effective at your next renewal. Fees already paid are non-refundable except where the law requires otherwise, or where we have materially failed to provide the service and cannot put it right.

6. Your content

Your notes, pricing figures, saved list, settings and account details remain yours. You grant us only the licence needed to host, process, back up and display them in order to run the service for you. We claim no other rights, and we do not use your content to train models or to build products.

You are responsible for what you put in. Do not store classified information, controlled unclassified information requiring safeguards we have not agreed to, export-controlled technical data, or personal data beyond ordinary business contact details. Prime Connect is not built or accredited for any of those.

7. Our software

The Prime Connect software, interface, branding and documentation are ours, and are licensed to you for the term of your subscription, not sold. You may not copy, decompile or create derivative works from it except to the extent the law permits regardless of contract.

The underlying government contract data is public information in which we claim no rights; see the data policy.

If you send us feedback, we may use it freely and without obligation. Please do send it.

8. Availability and support

We aim to keep Prime Connect available and current, but we do not offer a contractual uptime commitment. We may take the service down for maintenance, and will give notice in the product where a planned interruption is significant.

The daily refresh depends on three government systems. When one is down, unreachable, or has not published that day’s file, the board says so and continues to serve what it has.

9. Disclaimers

Prime Connect is not the system of record. It is a convenience layer over public government sources. Solicitation terms, deadlines, quantities, set-aside status and eligibility must be verified on SAM.gov or DIBBS before you rely on them. Every item links to its original for that purpose.

We do not warrant that the data is complete, accurate, current or fit for any particular purpose. We do not read every federal source, and we faithfully reproduce errors made by the agencies that published the data.

Nothing in Prime Connect is legal, procurement, accounting or bidding advice. Decisions about which contracts to pursue, whether you qualify for a set-aside, and how to price a bid are entirely yours.

Except as expressly stated, the service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, or lost contract opportunities — including a bid you did not see, submitted late, or priced using information that turned out to be wrong.

Our total aggregate liability arising out of or relating to these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.

11. Ending it

You may cancel at any time; access continues to the end of the paid month. We may terminate for material breach that you do not cure within 14 days of written notice, or immediately for the acceptable-use violations in section 3.

Export your saved list to CSV before you go. After termination we delete your workspace data as set out in the data policy.

12. Governing law and disputes

These terms are governed by the laws of [[JURISDICTION]], without regard to conflict-of-laws rules. The courts of [[JURISDICTION]] have exclusive jurisdiction, and both parties consent to venue there.

Before filing anything, please contact us at [[CONTACT EMAIL]]. Most disputes are a misunderstanding that a conversation fixes.

13. General

• Whole agreement. These terms, the privacy policy and the data policy are the entire agreement between us on this subject.
• Changes. We may update these terms with at least 30 days’ notice for material changes. Continuing to use Prime Connect after they take effect means you accept them.
• Assignment. You may not assign these terms without our consent. We may assign them to a successor in a merger or sale of the business.
• Severability. If a provision is unenforceable, the rest stands.
• No waiver. Not enforcing something once does not waive it.
• No agency. Nothing here creates a partnership, joint venture or employment relationship.
• Government use. Prime Connect is commercial computer software. If a government entity subscribes, standard commercial terms apply as permitted by FAR 12.212 and DFARS 227.7202.
